Was There a Change in Board Members?

As a volunteer board member, you have many responsibilities toward your association. As a group, it is imperative to run the association safely and smoothly for all owners, including yourself.   If and when it comes down to a collection or association matter requiring a board vote, your management company or legal representation will reach out to all board members to get a unanimous vote. This vote is conducted by email or at a board meeting and recorded in the minutes. Every board decision, whether to send a collection letter or file foreclosure, will require a unanimous vote or must be overseen at an official board meeting unless specific policies are in place.   When these situations approach, it is critical to ensure that all board members have working email addresses and that you notify your management company and legal representation of any changes in the board members or their contact information. If they do not have all the correct information, the vote to proceed with foreclosure will not count because we emailed an old board member instead of the newly elected member.   Even worse, there may be an accidental waiver of attorney-client privilege if we contact an old board member. You also do not want a delinquent owner to challenge the validity of a board vote because the management company or legal representation did not update their records.   Keeping records updated is critical.
